Why Is MKH Berhad's Trading Being Suspended From Bursa Malaysia?

Bursa Malaysia will suspend trading in MKH Berhad's shares from 9am on 16 October. The halt follows Batu Kawan's takeover offer, which closed on 8 October with 96.73% acceptance.

  • The offer closed at 5pm on 8 October, its extended closing date (Bursa filing GA1-08102026-00049 via klsescreener.com).
  • Whitmore Holdings, Batu Kawan and parties acting in concert now hold 557,927,664 MKH shares, or 96.73% of shares in issue excluding treasury shares (same filing).
  • Bursa will suspend trading under Paragraph 16.02(3) of the Main Market Listing Requirements, per Bursa circular ILC-08102026-00004.

  • Whitmore and Batu Kawan will invoke Section 222(1) of the CMSA to compulsorily acquire the remaining shares from shareholders who did not accept (Bursa filing GA1-08102026-00049).
  • After the suspension, the offerors intend to delist MKH from Bursa's Official List under Paragraph 16.07 of the Listing Requirements (same filing).

MKH's independent adviser Kenanga had called the RM2.00 offer “not fair but reasonable” (The Edge Malaysia). The deal, including Batu Kawan's initial stake purchase, values taking MKH private at up to RM1.15 billion.
